The Board of Directors and management of The Bank of Nevis Limited are committed to the highest standards of corporate governance, and have adopted the Guidelines on Corporate Governance for Institutions licenced to conduct business under the Banking Act, issued by the Eastern Caribbean Central Bank in 2006.

10 elected directors

8 non-independent, 2 independent - all elected by shareholders at the AGM.

Fit and proper

All directors qualify by education, skills, expertise, character and experience.

Banking Act 2015

Full compliance with the Banking Act, 2015 (as amended) - directors act independently in the interest of the Bank.

Board Committees

Six committees, one focus.

The Board operates through these standing committees, each chaired by a director and meeting on a regular cadence.

Audit Committee

Quarterly

Oversees financial reporting, internal controls, and compliance with legal and regulatory requirements. Reviews internal and external auditor performance, assesses risk frameworks, and ensures the integrity of financial statements.

Credit Risk Committee

Monthly

Oversees the Bank's credit risk framework, ensuring policies align with risk appetite and regulatory requirements. Reviews and approves significant credit exposures and monitors portfolio performance.

Technology & Innovation Committee

Quarterly

Oversees technology and innovation strategies, including IT and innovation budget, cybersecurity, data privacy, system resilience, and opportunities to leverage technology for improved customer experiences.

Human Resource, Compensation & Governance

Quarterly

Oversees HR strategy, executive compensation, governance practices, succession planning, and Board evaluations. Ensures alignment with strategic objectives and promotes diversity and independence.

Investment Committee

Quarterly

Oversees the Bank's investment strategy, ensuring alignment with the Bank's risk appetite and financial objectives. Reviews and approves significant investment decisions and monitors portfolio performance.

Risk Management Committee

Quarterly

Responsible for monitoring capital, liquidity, balance sheet positions and trends, and market risks. Oversees financial, credit, market, liquidity, operational, legal, reputational and ESG risks.
